Cloud Jobs Terms of Use

These terms of use (the “Terms”) of the Cloud Jobs Service (the “Service”) are agreed by and between RunJob, which means Puzl Cloud OÜ (the private limited company registered in Estonia with registration code 14476114) and you, being a customer (“Customer”) in the meaning of the RunJob Platform customer agreement (the “Customer Agreement”).
The Terms are in force as of the date the Customer clicks to accept the Terms, and they are incorporated into the Customer Agreement. The conditions for using the Service and capitalized terms used but not defined in these Terms have the meaning given to them in the Customer Agreement.

RunJob is an independent entity and has no affiliation or partnership with GitLab Inc. or GitHub, Inc.
”GitLab” is a trademark of GitLab Inc., and “GitHub” is a trademark of GitHub, Inc. Their use in these Terms is purely for the purpose of identifying the Service’s functionality. RunJob respects all rights of GitLab Inc. and GitHub, Inc. and their respective trademarks.

1. Use of the Service

1.1. The Service provides the Customer with an execution environment to perform computational tasks (the “Cloud Jobs”) initiated by the Customer via a Job Provider, such as GitLab, GitHub, or other software. Cloud Jobs are executed using RunJob’s Spike Instances Service in accordance with the Customer’s configurations within their chosen Job Provider software or within the Admin Console.

1.2. To execute Cloud Jobs using the Service, the Customer must follow the documentation provided by their chosen Job Provider and by RunJob.

1.3. For technical definitions or other terms not explicitly defined in the RunJob Agreement or these Terms, the Customer should refer to the official documentation provided by their chosen Job Provider software and the documentation provided by RunJob.

1.4. Access to the Service is granted to the Customer through the purchase of a Plan. Each Plan may encompass allocations of multiple Resources, with each Resource quantified in terms of its respective Resource Unit Seconds or In-Package Resource Consumption Limit. Details about available Plans, their associated prices, included Resource Unit Seconds, included In-Package Resource Consumption Limits, and other included functionality are available on the RunJob website.

1.5. The use of the Service by the Customer entails the consumption of Resource Unit Seconds and In-Package Resource Consumption Limits from the purchased Plan, which can be managed and viewed through the Admin Console.

1.6. RunJob may introduce new features, functionality, etc., related to the Service. The use of such features may be conditional upon the Customer’s consent to additional terms.

1.7. The Customer must have an Account to use the Service.

1.8. RunJob may change the Terms or the Service at any time. RunJob may, at any time, terminate the availability of the Service or terminate the use of any functionality of the Service. RunJob will post any changes to the respective URL, and they will be effective immediately after posting. If the Customer does not agree to any changes to the Terms, the Customer will stop using the Service. Any use of the Service after the posting and effective date of any changes to the Terms URL will constitute the Customer’s acceptance of the Terms as modified.

2. General Provisions for Plan Use

2.1. To utilize Resource Unit Seconds and In-Package Resource Consumption Limits from the Plan, the Customer must execute a Cloud Job, culminating in the creation of a cloud instance (or other processing environment) in RunJob.

2.2. Plans are designated for individual Customer Accounts and cannot be transferred, shared, or redistributed to another RunJob Customer’s account.

2.3. A Plan is valid for a specified limited duration. The duration of validity for each Plan, as well as any expiration dates or conditions, are defined at the time of purchase or as stipulated in the respective Plan documentation on the RunJob website.

2.4. In the event that the Customer depletes the Resource Unit Seconds for any specific Resource within the Plan before its expiration, additional usage of that Resource will be billed on a per-second basis until the expiration of the Plan. The per-second pricing varies for each Resource in each Plan and is detailed in RunJob’s documentation. Each Resource within a Plan is measured independently, and depletion of one does not affect the remaining Resource allocations.

2.5. Any Resource Unit Seconds not used within the Accrual Period of the respective Plan will be forfeited and will not roll over to subsequent periods or be redeemable in any form.

2.6. If the Customer’s consumption surpasses the In-Package Resource Consumption Limit for a particular Resource, additional usage will be billed based on the exceeded amount of the Resource on a per-second basis during the period of such surpassing.

2.7. Plans are non-refundable.

2.8. RunJob reserves the right to modify the contents, Resource allocations, or specifications of any Plan. However, any changes will not affect Plans already purchased until their expiration.

2.9. Upon the expiration of a Plan, should the Customer neglect or choose not to purchase a subsequent Plan, RunJob reserves the unequivocal right to immediately restrict the Customer’s access to the Service. Furthermore, RunJob may initiate the irreversible deletion of all Customer data associated with the Service. It remains the responsibility of the Customer to ensure the backup and preservation of their data prior to the expiration of the Plan or to timely purchase a subsequent Plan to ensure uninterrupted access and data preservation. RunJob will not be held liable for any loss or damage arising from the removal of such data.

3. Payments and Fees

3.1. Plan via Subscriptions. A subscription, in this context, refers to a recurring commitment where the Customer is automatically provided with a new Plan upon the conclusion of their current Plan, with charges applied accordingly. Once subscribed, unless cancelled, RunJob will automatically charge for the renewal using the same Plan or a different one specified by the Customer prior to the end of the current term. Payments for the renewals are automatically charged before the commencement of a new Plan, regardless of whether it follows a free trial or the conclusion of a previous Plan. The specifics regarding the frequency, timing, and method of these automatic charges are specified in the description of each Plan on the RunJob website.

3.2. If the Customer incurs additional usage of any specific Resource beyond its Resource Unit Seconds or In-Package Resource Consumption Limits, as outlined in Sections 2.4 and 2.6, additional fees (“Overage Fees”) will be applied in accordance with the per-second pricing detailed for the specific Plan on the RunJob website. Such Fees will be added to the subsequent invoice or automatically charged, depending on the payment method on file.

3.3. All invoicing, payment obligations, and related mechanisms concerning the Service adhere to the terms specified in the RunJob Customer Agreement, unless explicitly stated otherwise in these Terms.

3.4. While RunJob retains the discretion to offer promotional discounts or incentives, including for transitioning between Plans, such offers are not obligatory and can be modified or withdrawn at any time without prior notice.

3.5. RunJob may, at its discretion, offer trial Plans at no cost. The Customer must ensure they are familiar with the conditions and duration of any such trial, as stipulated at the time of offering. Upon the conclusion of the trial period, unless cancelled, the Customer’s chosen payment method will be automatically charged for the subsequent Plan.

3.6. The Customer may cancel their subscription at any time, but any existing charges or fees are non-refundable.

3.7. RunJob reserves the right to modify the pricing of Plans or associated Fees. Any changes will be communicated in advance and will only apply to subsequent Accrual Periods.

3.8. In cases where automatic charges fail, RunJob may take actions including, but not limited to, notifying the Customer, re-attempting to process the payment, suspending or terminating the Service. It remains the Customer’s responsibility to ensure valid payment details are on file and to address any issues that might prevent successful billing.

3.9. All Fees related to the Service do not include taxes, levies, or duties imposed by taxing authorities. The Customer is responsible for paying any such taxes, including, without limitation, VAT, sales, use, or withholding taxes, as outlined in the RunJob Customer Agreement.

4. Customer Obligations

4.1. The Customer must use the Service in accordance with these Service Terms, the general RunJob terms, and any guidelines or policies provided by RunJob.

4.2. The Customer is responsible for the security of their own Applications and data. While RunJob provides infrastructure-level security, Application-level security remains the Customer’s responsibility.

5. Proprietary Rights; Use of Customer Data; Technical Support

5.1. The Customer retains all rights and ownership of their Applications. RunJob does not claim any proprietary rights to the Customer’s Applications.

5.2. Customers are granted a limited, non-exclusive right to use the Service. RunJob retains all rights to its software and services.

5.3. Specific levels of technical support, if available, will be detailed within the individual Plan terms.

6. Term and Termination

6.1. These Terms are agreed upon for an indefinite period.

6.2. The Customer retains the right to discontinue the Service at any time; however, cessation of the Service does not entitle the Customer to any refunds.

6.3. If any Job Provider materially change or discontinue their software functionalities, significantly alter their APIs or job execution mechanisms, or transition critical functionality to closed-source or proprietary technologies, thereby making continued compatibility or operability with the RunJob Service impossible or impractical, RunJob reserves the right to terminate this agreement immediately without any further obligation or liability. In such circumstances, RunJob may, at its discretion, continue supporting previous software versions but provides no assurance or guarantee of compatibility with future versions of the affected Job Provider software.

6.4. RunJob reserves the right to terminate or suspend the Service if the Customer breaches these Service Terms or the overarching RunJob terms.

6.5. Upon termination, the Customer is responsible for retrieving their data and applications. RunJob is not obligated to retain any Customer data post-termination.

7. Definitions

Resource Unit Seconds
Means the service which consists of a specific Resource — be it CPU, GPU, memory, or any other defined Resource — rented by a Customer from RunJob for 1 second. The exact nature and specifications of what constitutes a “Resource Unit” is detailed and categorized on the RunJob website for the respective Service.

In-Package Resource Consumption Limit
Means the volume of a specific Resource that is included within a Plan and that the Customer can consume as part of their purchased Plan without additional charges.

Plan
Means an offering purchased by the Customer that encompasses pre-specified amounts of Resource Unit Seconds and In-Package Resource Consumption Limits for multiple Resources, and other associated functionalities, available for use within the Service.
